Terms of Service

Please read these terms carefully — they govern your use of Lexly.

These Terms of Service ("Terms") govern your access to and use of the Lexly platform, websites (including lexlyai.com), applications, and APIs (collectively, the "Service"), operated by Devmint Technologies ("Lexly", "we", "us", or "our"), a software studio with its principal place of business in Chandigarh, Punjab, India. Lexly is a product of Devmint Technologies. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Lexly is a contract-lifecycle platform that lets users:

  • Forge — generate contract drafts from attorney-reviewed templates with AI assistance;
  • Sense — upload contracts for AI-assisted analysis, clause extraction, and risk scoring;
  • eSign — send documents for electronic signature and receive signed copies with an audit certificate;
  • Vault — store and download their contracts.

Lexly is not a law firm and does not provide legal advice. The Service, including all AI-generated drafts, analyses, risk scores, clause explanations, and templates, is provided for informational and productivity purposes only and is not a substitute for advice from a licensed attorney. No attorney-client relationship is created by using the Service. AI output may be incomplete, inaccurate, or unsuitable for your situation. You are solely responsible for reviewing any document before relying on, executing, or sending it, and should consult a qualified lawyer for your specific circumstances and jurisdiction. Lexly makes no representation that any document is legally sufficient, enforceable, or compliant with the laws of any jurisdiction.

3. Eligibility & Accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for the accuracy of your account information and for safeguarding your credentials. You are responsible for all activity under your account.
  • You must notify us promptly of any unauthorised use.
  • Accounts are for the registered user; do not share access except as permitted by your plan.

4. Acceptable Use

You agree not to:

  • use the Service for any unlawful, fraudulent, or infringing purpose;
  • upload content you lack the right to use, or that is malicious, defamatory, or violates others' rights or privacy;
  • attempt to circumvent plan limits, rate limits, security, or access controls;
  • reverse engineer, scrape, or resell the Service except as permitted by law;
  • use the Service to generate or send documents you are not authorised to send, or to impersonate any person;
  • misuse the eSign feature to obtain signatures by deception.

We may suspend or terminate accounts that violate these Terms (see §13).

5. Electronic Signatures

  • The eSign feature is intended to create legally binding electronic signatures under applicable law (e.g., the U.S. ESIGN Act / UETA, eIDAS in the EU/UK, and the Indian Information Technology Act, 2000, as applicable).
  • You are responsible for determining whether an electronic signature is legally appropriate for your document and jurisdiction. Certain documents (e.g., wills, certain real-estate, family-law, or notarised instruments) may be excluded from electronic signing by law.
  • Each signatory affirms, by typing their name and confirming consent, their intent to sign and to be bound. Lexly records signing metadata (timestamps, IP address, approximate location, user agent) in an audit certificate as evidence of the signing process.
  • Lexly does not guarantee that any signed document will be admissible or enforceable in any particular proceeding.

6. User Content & Ownership

  • You retain all rights to the documents and data you upload or generate ("User Content").
  • You grant Lexly a limited, worldwide, non-exclusive licence to host, process, transmit, and display User Content solely to provide and improve the Service to you (including sending it to the subprocessors listed in our Privacy Policy, such as AI and OCR providers, for processing on your behalf).
  • We do not sell your User Content. We do not use the substance of your contracts to train third-party foundation models except as permitted by those providers' terms; see the Privacy Policy.
  • You represent that you have all rights necessary to upload and process your User Content.

7. Plans, Billing & Payments

  • The Service offers free and paid subscription plans (Solo, Pro, Team) with the features and usage limits described at checkout and in-app.
  • Merchant of Record. Payments are processed by Lemon Squeezy, which acts as the Merchant of Record and the seller of record for paid plans. Your purchase is also subject to Lemon Squeezy's terms. Lemon Squeezy handles payment processing, applicable taxes, and invoicing.
  • Auto-renewal. Paid plans are subscriptions that renew automatically at the end of each billing period, and your payment method is charged automatically, until you cancel. By subscribing you authorise these recurring charges.
  • Cancellation. You may cancel at any time from the billing settings. Cancellation takes effect at the end of the current billing period; you retain paid features until then and are not charged thereafter. We do not provide prorated refunds for partial periods except as required by law or stated in §8.
  • Price changes. We may change prices or plan features on prospective notice; changes apply at your next renewal.
  • Failed payments. If a renewal payment fails, your subscription may be marked past-due and, after retry attempts, downgraded to the free plan. Access to paid features may be suspended.
  • Payment method. To update your card, you will be directed to Lemon Squeezy's secure customer portal; Lexly does not store your full card details.

8. Refunds

Except where required by applicable law, fees are non-refundable. As a goodwill policy, you may request a refund on your first paid subscription within 14 days of that initial purchase by contacting us at billing@lexlyai.com. Refund requests are handled by Lemon Squeezy as Merchant of Record in accordance with its refund policy and any policy we publish.

9. Usage Limits & Fair Use

Each plan includes monthly usage allowances for Forge, Sense, and eSign actions. Exceeding your allowance may block further use of that feature until the next cycle or until you upgrade. We may apply rate limits and reasonable technical restrictions to protect the Service.

10. Intellectual Property

  • The Service, including its software, templates, design, and trademarks, is owned by Lexly or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service per these Terms.
  • Templates are provided for your use within the Service; you may use generated documents for your own purposes but may not redistribute the underlying templates as a competing template library.
  • Feedback you provide may be used by us without obligation to you.

11. Third-Party Services

The Service relies on third-party providers (e.g., cloud hosting, AI, storage, email, payments). We are not responsible for third-party services, and your use may be subject to their terms. Links to third-party sites are provided for convenience only.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT DOCUMENTS OR AI OUTPUT ARE ACCURATE, COMPLETE, OR LEGALLY SUFFICIENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. Suspension & Termination

  • You may stop using the Service and delete your account at any time.
  • We may suspend or terminate your access for violation of these Terms, suspected fraud or illegal activity, non-payment, or risk to the Service or other users.
  • Upon termination, your right to use the Service ceases. We may delete your data after a reasonable period as described in the Privacy Policy. You may export/download your contracts before termination.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEXLY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR ANY DOCUMENT CREATED, ANALYSED, OR SIGNED THROUGH IT. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LEXLY IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Lexly and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

16. Changes to the Terms

We may update these Terms. Material changes will be notified via the Service or email. Continued use after changes take effect constitutes acceptance.

17. Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. The courts of Chandigarh, Punjab, India have exclusive jurisdiction, except where mandatory consumer-protection law provides otherwise.
